Terms of Service

Effective September 5, 2026

Miso Edits is operated by TI Herman LLC, a Wyoming limited liability company. These Terms of Service govern your access to and use of Miso Edits’ website and human-powered short-form video editing services under the Creator and Professional plans. By purchasing a subscription or using the services, you agree to these terms. Team services require a separate written agreement and are not governed by these terms.

1. The service

Miso Edits provides short-form video editing through human editors. Customers communicate with people, and a human editor is responsible for the editing process and creative judgment. For purposes of these terms and Miso Edits’ marketing, references contrasting the service with “AI” refer to generative AI systems or AI chatbots acting in place of direct human communication or the human editor’s primary editorial responsibility. They do not include automated or AI-powered features within editing and production tools used by a human editor. Editors may use any appropriate production software and its available features while the service remains human-led.

Requests, files, delivery estimates, feedback, and approvals may be handled through email, Google Drive, or other production tools designated by Miso Edits. Miso Edits is not a permanent file-storage or backup service.

2. Eligibility and customer information

You must be at least 18 years old and able to enter into a binding agreement. You agree to provide accurate contact and payment information and to keep your email address current. The email confirmed through Stripe is the authoritative email associated with a paid subscription. Subscriptions and licenses may not be shared with another person or transferred without Miso Edits’ written permission.

3. Plans, billing, renewal, and price changes

Paid plans renew automatically until canceled:

  • Creator: a promotional first week for $1, then $19 per week.
  • Professional: $39 per week, with no trial.

Taxes may be added where required. Payments and subscription management are processed by Stripe under Stripe’s own terms. By starting a subscription, you authorize Stripe to charge the payment method on file at each renewal.

Miso Edits may change a recurring subscription price by giving at least one complete billing cycle of advance notice. For a weekly subscription, the renewal immediately following the notice will remain at the previous price, and the new price will take effect no earlier than the following weekly renewal. You may cancel before the new price takes effect.

4. Cancellation, failed payments, and refunds

You may cancel through the Stripe customer portal. Cancellation takes effect at the end of the billing period already paid for. Canceling prevents future renewal charges but does not reverse charges already incurred.

If a payment is declined, overdue, disputed, reversed, or otherwise unsuccessful, Miso Edits may immediately pause all work, including open edits and revisions. Work may remain paused until outstanding amounts are paid and an active subscription is restored. A payment-related pause does not guarantee that the same editor, production position, or previous turnaround estimate will remain available when work resumes. When a subscription ends, work on any unfinished edit stops unless Miso Edits agrees otherwise in writing.

Except where required by law or expressly stated otherwise, fees are nonrefundable. If a billing error occurs, contact [email protected] promptly so it can be reviewed.

5. Editing capacity and turnaround

“Unlimited edits” means there is no fixed limit on the number of edits that may be completed during an active, paid subscription. Creator includes one edit in progress at a time. Professional includes up to three edits in progress at once. After an edit is approved, you may submit the footage and brief for another edit within your plan’s available capacity.

Standard short-form edits are generally expected to take approximately 24 to 72 hours after Miso Edits receives usable source files and a sufficiently complete brief. This is an estimate, not a guaranteed delivery deadline. Turnaround may be longer because of editing complexity, editor availability, lengthy or disorganized raw footage, file-transfer delays, sourcing, animation, sound work, revisions, incomplete instructions, delayed feedback, or other additional work. Miso Edits may provide an updated good-faith estimate as a request develops.

6. Uploads, storage, and file loss

“Unlimited footage per edit” means Miso Edits does not impose a preset limit on the duration of raw footage submitted for one edit. It does not mean unlimited storage or file-transfer capacity. Miso Edits may impose reasonable limits on individual file size, total upload or storage volume, formats, or transfer methods and may ask you to compress, organize, or re-upload files. Current limits may be communicated when files are submitted and may change as production and storage systems change. Longer footage may require additional turnaround time.

You are solely responsible for maintaining complete backups of everything you submit and for promptly downloading final exports. Miso Edits does not guarantee that uploaded footage, working files, drafts, or deliverables will be retained or remain continuously available for any specific period. Files may be lost, corrupted, or deleted during or after the service, including after delivery, approval, cancellation, termination, or payment failure. To the maximum extent permitted by law, Miso Edits is not responsible for loss or deletion of files that you were responsible for backing up.

7. Revisions and approvals

Revisions are included until an edit is approved, provided the request remains within the original creative direction. A new concept, materially different source footage, or substantial change in scope may be treated as a new edit.

Approval may be communicated by email or by clearly accepting or publishing the delivered file. After approval, the edit is complete and another edit may begin within your plan’s available capacity.

8. Customer materials and permissions

You retain ownership of the footage, photographs, brand assets, music, instructions, and other materials you provide, collectively, “Customer Materials.” You grant Miso Edits a worldwide, nonexclusive, royalty-free, sublicensable license to access, host, store, copy, edit, adapt, transform, transmit, display, and share Customer Materials as reasonably needed to provide, support, secure, and administer the service, exercise the promotional rights below, enforce these terms, and comply with law. Miso Edits may sublicense these rights to assigned editors, contractors, platforms, and service providers working on its behalf.

You represent that you have all rights, licenses, releases, permissions, and consents needed for Miso Edits to receive, edit, deliver, and use everything you submit as permitted by these terms. You are solely responsible for obtaining and maintaining permissions for footage, people appearing in it, music, fonts, trademarks, brand assets, claims, and all other supplied material, as well as for complying with applicable platform rules.

9. Miso Edits ownership and your Owned-Channel License

Miso Edits retains all rights in its pre-existing and reusable tools, templates, presets, graphics, systems, workflows, production methods, know-how, and other materials, collectively, “Miso Materials.” Except for Customer Materials and third-party materials, Miso Edits also retains the rights in the original editing, selection, arrangement, animation, graphics, sound design, and other creative contributions added by Miso Edits or its editors, collectively, “Miso Contributions.” Working files, project files, timelines, drafts, unused concepts, and internal materials are not deliverables and are not included unless agreed in writing.

After all applicable fees are paid, Miso Edits grants you a nonexclusive, perpetual, worldwide, royalty-free license to reproduce, publish, display, distribute, crop, resize, caption, excerpt, and reformat the final exported deliverable on social accounts you own or control, your own website, and your own newsletter. This “Owned-Channel License” includes ordinary platform monetization, affiliate promotions, and sponsored content that you publish organically through those channels. It also permits the platforms and contractors operating your channels to host and distribute the deliverable solely on your behalf. The license for a fully paid deliverable survives cancellation or termination.

The Owned-Channel License does not include paid advertisements, boosted posts, whitelisting or Spark Ads, use through a sponsor’s or other third party’s account, licensing or delivery to a brand for its own use, television or streaming advertisements, out-of-home advertising, resale, stock use, or other sublicensing. Those uses require a separate written Paid Media and Third-Party Usage License from Miso Edits and may require additional fees.

10. Miso Edits promotional and publicity rights

Unless and until you opt out as described below, you grant Miso Edits a worldwide, nonexclusive, royalty-free, sublicensable license to use, reproduce, publish, display, distribute, advertise with, and create promotional adaptations and excerpts of final deliverables and the Customer Materials embodied in them. Miso Edits may use these materials in portfolios, websites, social media, showreels, case studies, sales presentations, promotional email, awards, and organic or paid advertising in any media.

You also grant Miso Edits permission to identify you as a customer and use your name, professional name, social handle, profile image, likeness, voice, logo, and accurate publicly available account information, including your platform and follower count, for those purposes. Miso Edits may crop, resize, excerpt, caption, reformat, combine, mute, or replace audio in promotional materials. No additional approval or compensation is required. Miso Edits will not attribute a quote or testimonial to you that you did not make or knowingly claim results that are unsupported.

You may opt out of future promotional and publicity use at any time by emailing [email protected] from the email associated with your subscription. The opt-out applies prospectively. Within 30 days, Miso Edits will take commercially reasonable steps to stop new uses and remove the affected materials from active digital marketing that Miso Edits directly controls. The opt-out does not invalidate prior lawful use or require Miso Edits to recall printed materials, recover third-party copies, delete internal or legal records, or immediately end advertising placements that were already produced, purchased, or scheduled.

11. Content standards and editorial discretion

Miso Edits is not obligated to accept every request. In its reasonable editorial discretion, Miso Edits may decline, pause, or stop work involving sexually explicit or pornographic material, exploitation, hate, harassment, threats, graphic violence, dangerous conduct, unlawful activity, fraud, deception, infringement, privacy violations, political campaigning, gambling, regulated products, high-risk claims, or material that presents legal, ethical, safety, reputational, or platform-compliance concerns. You may submit a replacement request if Miso Edits declines an individual edit, unless the subscription itself is suspended or terminated.

You may not submit malware or anything designed to compromise Miso Edits, its editors, or its service providers. Miso Edits may refuse a request without providing detailed reasons when it reasonably believes disclosure could create a legal, security, or safety concern.

12. Third-party services

The service depends on third parties such as Stripe, Resend, Google Drive, Railway, Cloudflare, and editing or media-processing tools selected for production. Their availability, security practices, outputs, and separate terms are outside Miso Edits’ control. Miso Edits is not responsible for outages or changes caused solely by those providers but will make reasonable efforts to communicate material service interruptions.

13. Service changes, suspension, and termination

Miso Edits may improve, modify, suspend, or discontinue features and may update plan features or capacity for future billing periods. Material subscription changes will be communicated before they take effect where reasonably possible.

You may end the relationship by canceling your subscription. Miso Edits may decline a request or suspend or terminate an account, subscription, or service relationship at any time, with or without cause. If Miso Edits terminates without cause before the end of a paid billing period, it may either continue service through that period or provide a prorated refund for the unused portion. Miso Edits may terminate immediately for nonpayment, a payment reversal, abuse, fraud, unlawful conduct, threats to editors, prohibited content, or a material breach of these terms, without a refund to the extent permitted by law.

On termination, unfinished work may stop immediately, outstanding amounts remain payable, and you remain responsible for downloading and retaining your files. Rights granted for fully paid deliverables and provisions concerning ownership, promotional uses already made, payment, disclaimers, indemnification, liability, disputes, and other terms that by their nature should survive will remain effective.

14. Disclaimers

The service is provided “as is” and “as available” to the extent permitted by law. Miso Edits does not guarantee a specific number of edits within a billing period, a delivery date, file retention, views, followers, sales, platform approvals, or any other performance result. Creative outcomes are subjective, and platform algorithms and policies can change without notice.

15. Limitation of liability

To the maximum extent permitted by law, Miso Edits will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, data, files, goodwill, or business opportunities. Miso Edits’ total liability arising from the service will not exceed the amount you paid to Miso Edits during the three months immediately preceding the event giving rise to the claim.

16. Indemnification

You agree to defend, indemnify, and hold harmless Miso Edits, its owners, editors, contractors, and service providers from third-party claims, losses, liabilities, damages, and reasonable costs arising from Customer Materials, a failure to obtain required rights or releases, your use or distribution of a deliverable, your violation of law or platform rules, or your breach of these terms.

17. Events outside our control

Miso Edits is not responsible for delay or failure caused by events reasonably outside its control, including internet or utility failures, provider outages, natural disasters, illness, labor disruptions, government actions, war, civil unrest, cyberattacks, or platform changes. Deadlines and estimates may be extended for the duration and reasonable effects of such an event.

18. Governing law and disputes

These terms are governed by the laws of the State of Wyoming, United States, without regard to conflict-of-law rules. Before filing a formal claim, each party agrees to make a good-faith effort to resolve the issue by email. Subject to any mandatory law that applies, the state and federal courts located in Wyoming will have exclusive jurisdiction over disputes arising from these terms or the service, and each party consents to that jurisdiction and venue.

19. General terms

You consent to receive notices and records electronically at the email associated with your subscription. Notices to Miso Edits must be sent to [email protected]. You may not assign these terms, your subscription, or your licenses without Miso Edits’ written consent. Miso Edits may assign these terms in connection with an affiliate relationship, financing, reorganization, merger, acquisition, or sale of all or part of its business or assets.

The parties are independent contractors, and these terms do not create employment, agency, partnership, fiduciary, or joint-venture relationships. A failure to enforce a provision is not a waiver. If any provision is found unenforceable, it will be modified only to the minimum extent necessary, and the remaining provisions will remain effective. Headings are for convenience only. These terms, the Privacy Policy, the applicable checkout disclosures, and any written license or scope accepted by both parties form the entire agreement concerning the Creator and Professional services and replace prior discussions about those services.

20. Changes to these terms

Miso Edits may update these terms as the service or legal requirements change. The updated date will be revised when changes are posted. Material changes affecting an active subscription will be communicated by email or prominent website notice before they take effect where reasonably possible. Continuing to use the service after the effective date means you accept the updated terms, subject to any rights provided by applicable law.
